Ekorra Portal Terms and Consent Notice

This document is a translation of the French original. In case of discrepancy, the French version prevails.

This document has two parts: (A) the short notice displayed in the portal at the time of upload, and (B) the full terms available through a link. The short notice remains visible, simple and French-first.

A. Notice displayed in the portal (interface text)

In the notice below, "the business requesting them" is replaced by the Requester's name where the Requester has provided it.

The business requesting them is asking you for these documents through Ekorra.

  • Your files are encrypted (in transit and at rest) and hosted in Canada. Only the business requesting them and you can access them.
  • Each file is checked automatically by artificial intelligence the moment you upload it (right document, right year, readability). The final decision is always made by a person at the business requesting them.
  • The conversation assistant is an AI agent that relies on the content of your documents to answer; your questions may be forwarded to the business requesting them.
  • If the business requesting them sends you documents, you will receive a one-time code by email to view them, and the date you viewed them will be visible to the sender.
  • Your documents are kept 12 months after the request ends, then deleted. You can request access, correction or deletion at any time from the business requesting them.

B. Full portal terms

These terms apply to any person (the "Uploader", "you") who uses an Ekorra portal to transmit documents to the entrepreneur, firm or business requesting them (the "Requester"), or to view the documents the Requester sends them. The portal is operated by Neural North (the "Operator", "Ekorra") on behalf of the Requester.

1. Roles

The Requester determines which documents are requested and why, and which documents it sends you; it is the person in charge of the personal information collected. Ekorra acts as a service provider: hosting, AI-assisted checking, indexing and answering questions about documents, delivery of shared documents, code verification, assistance, notifications.

2. What happens to your files

  1. Upon upload, each file is analyzed by an AI system that checks that it matches the requested document (type, period, readability, rules specified by the Requester). Where the Requester allows it, you may also add a document that was not requested from you; the AI then identifies it without comparing it to a specific expectation and the Requester evaluates it.
  2. If a problem is detected, you are told immediately with an explanation; you can replace the file.
  3. When you submit your documents (in whole or in part), a person at the Requester examines them and makes the final decision. No final decision is made by AI alone.
  4. If you write to the Requester from the portal, your name, your email address and your message are forwarded to the Requester by email so that it can reply to you; Ekorra does not keep this message in your file. Do not include sensitive information in it: upload a document instead.
  5. To allow questions about their content to be answered, your documents are indexed when they are checked: their text is transcribed page by page and converted into numerical search representations (vectors) by a model served in Canada, kept in Canada with the file. This index is used by the portal assistant to answer your questions about your own request, and by the Requester to ask questions about the documents of one file or of the active files in its own workspace (its own clients only, never those of another firm). Answers cite the document and page they come from and, where no source is found, say so; they are a reading aid and do not replace the decision of a person at the Requester. The index is deleted as soon as you replace or remove a document, and at the latest when the file is deleted (section 5). Neither your documents nor the index are used to train AI models.

3. Documents the Requester sends you and verification code

  1. Where the Requester has enabled this feature, it may send you documents through the portal (for example a form, a statement or a letter). You are notified by email; the email never contains the document itself, only the invitation to view it.
  2. To view or download these documents, you must confirm that you have access to your email address: a one-time code is sent to you by email, valid for ten (10) minutes. Once the code is entered, your device is recognized for thirty (30) days; after that period, or on another device, a new code is required. The code is stored in hashed form only; the time it was sent, the time it was verified and failed attempts are recorded, and the number of attempts is limited. This verification confirms access to your mailbox; it is not an identity verification.
  3. Uploading your own documents remains accessible through your personal link alone (section 4), without a code.
  4. The Requester sees the date and time of your first viewing and of your last download of each document sent to you (viewing receipt). It may withdraw a document it has sent you.
  5. Documents sent by the Requester, viewing receipts and verification data follow the same retention and deletion as the rest of the file (section 5).

4. Access, security and hosting

Your portal access link is personal and signed; it expires after thirty (30) days and the Requester can send you a new one. Do not share it, and never disclose a verification code. Files and the search index are protected by encryption in transit (TLS) and at rest, access control and logging, and hosted in Canada (Google Cloud, Montreal region), including for indexing, search and backups. Files are not used to train AI models. The emails the portal sends you (invitation, reminders, review return, notice of a sent document, verification codes) are delivered by a provider established in the United States; they never contain your documents or their content (see the Privacy Policy, section 6).

The Ekorra team accesses, through its operations tools, metadata only (statuses, dates, counters) — never the content of your documents, the fields extracted from them, your messages or the access links to your files.

If Ekorra suspends the Requester's account for a breach of its obligations, your portal becomes read-only: you can view the status of your request and the documents already sent to you, but you can neither upload, nor submit, nor write. No data is deleted by a suspension; contact the Requester or Ekorra (section 6).

5. Retention and deletion

Your documents — including those the Requester sends you, the search index derived from them, viewing receipts, code verification data, your exchanges with the assistant and the file description provided by the Requester — are kept for the duration of the request's processing and for twelve (12) months after it is closed, unless the Requester is under a contrary legal obligation, and are then securely deleted. Closing means the end of the Requester's review (request marked complete); a request the Requester has not closed is not covered by this deletion until it is — you may then request its deletion (section 6). Deletion is carried out by a daily process, in calendar months; it takes effect in Ekorra's backup copies no later than forty (40) days afterwards. Only an archive record without content remains (status of the request, dates, stages, purpose, names of the documents requested, a count of what was deleted and the date of deletion), visible to the Requester. Your name, email address and language, recorded by the Requester in its client list, follow the Requester's account, unless deletion is requested (section 6). You may request earlier deletion from the Requester or from Ekorra. Copies that the Requester has downloaded into its own files are subject to its professional obligations and are not covered by this automatic deletion.

6. Your rights

In accordance with Law 25 (Quebec) and PIPEDA (Canada), you may: access your information, have it corrected, withdraw your consent, request its deletion and, where applicable, its communication in a structured format. Contact: the Requester's person in charge of the protection of personal information, or Ekorra at vie-privee@ekorra.com (we then forward your request to the Requester and assist it).

7. Your commitments

You agree to upload only truthful documents concerning you (or the business you represent), not to transmit unlawful content or malicious software, and to keep your personal link and your verification codes to yourself.

8. Support and liability

The portal is provided "as is". Ekorra is not responsible for the Requester's decisions or for the consequences of an incomplete or late file. Nothing excludes liability that cannot be excluded by law.

9. Governing law and language

Laws of Quebec and applicable federal laws of Canada. Document drafted in French; this English version is provided for convenience and, in case of discrepancy, the French version prevails.
